Terms of Service

Last updated: 16 October 2026

In plain language. Valet lets you connect an AI agent to a catalog of online services and give it a budget to pay for them on your behalf. You are responsible for what your agents do, including purchases they initiate within the budgets you set. Money you add to your wallet is prepaid and held to cover those purchases. Many catalog services are operated by third parties and are provided “as is”. This summary is for orientation only and is not part of the agreement below.

1. Agreement to these Terms

1.1 The parties

These Terms of Service (the “Terms”) are a binding agreement between you and Third Eye Technologies, Inc., a Delaware corporation (“Valet”, “we”, “us”), and govern your access to and use of the Valet website at askvalet.ai, the dashboard, the API, the MCP endpoint, and related services (together, the “Service”). By creating an account, registering or connecting an agent, adding funds, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.

1.2 Early access

The Service is new. Features, catalog contents, pricing, and these Terms may change more often than they would for an established service, and some capabilities may be offered on a limited or trial basis. Nothing in this section limits §12.

1.3 Providers

If you list a service in the Valet catalog, separate Provider Terms govern that listing and any payouts. These Terms govern your use of the Service as a Principal.

2. Definitions

  • Principal — the human or organization that holds a Valet account, funds a wallet, and authorizes spending. That is you.
  • Organization — a Principal that is a company or other legal entity, with one or more human members who manage its account.
  • Agent — an autonomous software identity you register and authorize to act on your behalf through the Service, whether connected by an access token, by OAuth, or through an MCP-compatible client.
  • Wallet — the prepaid balance of funds you add to your account, held by us to cover your agents’ purchases (see §6).
  • Auto top-up — an optional setting that authorizes us to add funds to your wallet from your saved payment method when the balance falls below a threshold you choose (see §6.5).
  • Budget (or “allowance”) — a spending limit you set for an agent that acts as your advance authorization for purchases within it (see §7).
  • Catalog Service — a service listed in the Valet catalog that an agent can discover, install, or call. Some are operated by us (“first-party”); others are operated by third parties and may be thin wrappers of an external API or website (“Third-Party Services”).
  • Provider — the person or entity that operates a Third-Party Service.
  • Entitlement — a grant of access (one-time, balance, quota, or subscription) that lets an agent use a Catalog Service’s tools. A Subscription Entitlement renews automatically at a stated interval until cancelled (see §8.3).
  • Purchase Request — an agent’s request to acquire an Entitlement, which is authorized either automatically (within budget) or by you. A request awaiting your decision is a Pending Request.
  • Stipend — the payment-and-authorization component that records entitlements and processes payments underlying the Service. Stipend is also published as open-source software under its own license; that license, not these Terms, governs your use of the software itself.

3. Accounts and eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You may not use the Service if you are located in, or are a resident or national of, a country or territory subject to comprehensive U.S. sanctions, or if you are on any U.S. government restricted-party list.

3.2 Account information and credentials

You agree to provide accurate account information and to keep it current. You are responsible for safeguarding your credentials and for all activity under your account.

3.3 Sign-in

We use a third-party identity provider (Google sign-in and email/password via Firebase Authentication) to sign you in. You are responsible for maintaining the security of the underlying email or identity account.

3.4 Organization accounts

An Organization designates one or more members to manage its account. Each member’s actions bind the Organization, including registering agents, setting budgets, approving Pending Requests, and adding funds. An Organization is responsible for removing members who should no longer have access.

3.5 Electronic communications

You agree that we may provide notices, approvals, receipts, and other communications electronically, by email to the address on your account or by in-product notice, and that these satisfy any requirement that a communication be in writing.

4. Agents and your responsibility for them

The Service is designed so that an autonomous agent can discover, request access to, and pay for services on your behalf. You are solely responsible for every agent you register and for all actions, requests, tool calls, and purchases it makes, whether or not you reviewed them in advance, to the same extent as if you had taken those actions yourself.

4.1 Authority you grant

By registering an agent and issuing it a token, or connecting it via OAuth or an MCP client, you authorize that agent to act on your behalf within the Service: to read your entitlement state, search and install Catalog Services, call tools (including one-off calls to services it has not installed), submit Purchase Requests, and, where a purchase is within a budget you set, cause charges against your wallet without further review by you.

4.2 Agent behavior is unpredictable

AI agents can behave in unexpected ways. You acknowledge that an agent may make requests or purchases you did not specifically anticipate. The Service gives you controls to bound this risk, including budgets, per-agent pause, approval of out-of-budget requests, token revocation, and an audit log, and you are responsible for configuring them appropriately for your risk tolerance. We do not control the AI model or the host platform your agent runs on, and we are not responsible for an agent’s decisions within the authority you granted it.

4.3 Token and connection security

Agent tokens are shown once and grant access to act on your behalf. You must keep them confidential, and you are responsible for activity conducted with them until you revoke or rotate them. Notify us promptly at security@askvalet.ai if you believe a token has been compromised.

4.4 What your agents submit

You are responsible for the inputs your agents send to Catalog Services, including any personal data, documents, URLs, or other content. Do not allow an agent to submit content you have no right to process or disclose.

4.5 Pending Requests

A Purchase Request that requires your approval remains pending for 24 hours (or such other period shown in the dashboard) and then expires. We are not responsible for any consequence of a request expiring unapproved.

5. The catalog and third-party services

5.1 What the catalog is

The catalog includes services we operate and services operated by Providers. We curate the catalog but do not control Third-Party Services, and we are not a party to the underlying work an agent has them perform. Third-Party Services are labeled where practicable.

5.2 Routing of inputs

When your agent calls a Catalog Service, the request and any inputs your agent supplies (such as a location, ticker, URL, or document) are routed to that service and, for Third-Party Services, to the Provider, to fulfill the call.

5.3 Provider terms

Third-Party Services may have their own terms and acceptable-use policies. Where a Provider imposes terms on end use, you and your agents must comply with them.

5.4 Services that reach third-party websites

Some Catalog Services fetch, render, search, or extract content from websites that neither we nor the Provider operate. You are responsible for ensuring that your agents’ use of those services respects the target website’s terms, robots directives, and applicable law, and for any rights in content so obtained.

5.5 Changes to the catalog

We may add, change, suspend, deprecate, or remove Catalog Services at any time, including for quality or compliance reasons. Where a removal affects an Entitlement you paid for, §9 applies.

5.6 Outputs

Catalog Services are provided “as is”; outputs may be inaccurate, incomplete, out of date, or unavailable. Market, financial, weather, and similar data are provided for informational purposes only and are not investment, trading, safety, or professional advice. Do not rely on outputs as the sole basis for decisions with significant consequences without independent verification.

6. Wallet, funds, and payments

6.1 Prepaid, custodial balance

You add funds to your wallet in advance using a payment method processed by Stripe. The balance is prepaid value we hold to cover your agents’ purchases and applicable fees. It is denominated in U.S. dollars unless another currency is shown at top-up, and it does not earn interest. We may set minimum top-up amounts and a maximum wallet balance.

6.2 What the wallet is not

Your wallet balance is not a bank account, deposit, e-money, or stored-value or gift-card instrument, is not insured, and is usable only to pay for the Service and Catalog Services. It cannot be transferred to another person or withdrawn as cash except as a refund under §9. We are not a bank and do not provide banking or money-transmission services.

6.3 Payment processing (Stripe)

Card and payment processing is handled by Stripe under Stripe’s terms. We do not receive or store full card numbers; card data is collected and held by Stripe. You authorize us (and Stripe) to charge your selected payment method for top-ups you initiate, for auto top-ups you have enabled, and for any applicable fees.

6.4 How charges occur

Adding funds is a charge to your payment method. After that, your agents’ purchases draw down your prepaid wallet balance internally; an individual tool call may cost as little as a fraction of a cent and is debited from your balance, not charged to your card separately. Charges are stated in the applicable currency.

6.5 Auto top-up

If you enable auto top-up, you authorize us to charge your saved payment method for the top-up amount you select whenever your wallet balance falls below the threshold you select, without further action by you. You can change the amount, the threshold, or the payment method, or turn auto top-up off, at any time in the dashboard; changes take effect for the next top-up. If an auto top-up fails, purchases that would exceed your remaining balance are declined under §7. We will send a receipt for each auto top-up.

6.6 Organization billing

Purchases by an Organization’s agents are charged to the wallet and payment method designated for that Organization. The Organization is responsible for those charges regardless of which member registered the agent or enabled the setting.

7. Budgets and authorization (your consent mechanism)

Budgets are how you authorize spending in advance. Setting a budget for an agent is your consent to that agent making purchases up to that limit without contacting you for each one.

  • Within budget: a Purchase Request that fits the agent’s remaining budget is auto-approved and charged to your wallet. This is by design and reflects the authorization you gave by setting the budget.
  • Over budget or otherwise uncovered: the request is held as a Pending Request for your explicit approval. You may approve, deny, or (where supported) amend it. Unanswered requests expire under §4.5.
  • Free tools: calls to tools priced at zero do not draw on a budget but remain subject to these Terms, the Provider’s terms, and rate limits.
  • Controls: you can change an agent’s budget, pause an agent (after which new spending and entitlement consumption stop), revoke its token, and review activity in your dashboard and audit log.
  • Sufficient funds required: purchases require an available wallet balance. A purchase that would exceed your balance is declined, even if within budget, unless auto top-up covers the shortfall.

8. Pricing, fees, and taxes

8.1 Prices

Prices for Catalog Services are shown in the catalog and, for paid tools, in the tool’s metadata that your agent can read before calling. We aim for deterministic, per-call pricing. The price shown at the time of the call governs that call.

8.2 Changes

We may change prices, introduce fees (for example platform or subscription fees), or change free-tier limits prospectively. Changes do not affect Entitlements already granted or calls already in flight. We will give at least 30 days’ notice of a new or increased platform fee by email or in-product notice.

8.3 Subscription Entitlements

Some Entitlements renew automatically. When your agent acquires a Subscription Entitlement, the price, renewal interval, and what it covers are shown before the purchase is authorized. Each renewal is charged to your wallet at the then-current price on the renewal date until you cancel. You can cancel a Subscription Entitlement at any time in the dashboard; cancellation stops future renewals and does not refund the current period. If your wallet cannot cover a renewal, the Entitlement lapses at the end of its current period.

8.4 Taxes

You are responsible for any applicable sales, use, value-added, goods-and-services, or similar taxes, which may be added to charges and collected at top-up or at purchase as required by law.

9. Refunds, chargebacks, and unspent funds

9.1 Consumed usage is non-refundable

Amounts already spent on completed tool calls and granted Entitlements are not refundable except as required by law or as we choose to remedy a Service failure.

9.2 Unspent wallet balance

You may request a refund of your remaining unspent, prepaid balance, less any non-refundable fees and amounts required to settle pending or in-flight charges. We will return it to your original payment method where possible, within 30 days of a verified request. We may set a minimum refundable amount.

9.3 Service failure or removal

If a Catalog Service fails to deliver, or we remove a service you hold a paid Entitlement to, we will provide a refund or credit for the affected, unused portion where appropriate.

9.4 Chargebacks

If you dispute a top-up with your card issuer rather than contacting us, we may suspend your account and agents while the dispute is open, deduct the disputed amount and any chargeback fees from your wallet, and decline further top-ups from that payment method. Contact support@askvalet.ai first; most issues can be resolved directly.

9.5 Dormant balances

If your account has no activity for 24 months and holds an unspent balance, we will attempt to contact you at your account email. Unclaimed balances may be subject to unclaimed-property laws and remitted to the relevant authority as those laws require.

9.6 Account closure

On closure, we will return your remaining unspent balance using commercially reasonable efforts, subject to verification, fraud checks, and applicable law.

10. Acceptable use

You agree not to, and not to allow your agents to:

  • Use the Service or any Catalog Service in violation of law, third-party rights, or a Provider’s applicable terms or acceptable-use policy;
  • Submit content or requests that are unlawful, infringing, or that you are not authorized to process (for example, documents or personal data you have no right to use);
  • Use scraping, rendering, or search tools to access a website in violation of its terms or robots directives, to collect personal data unlawfully, or to build a competing dataset by extracting outputs at scale;
  • Attempt to circumvent budgets, authorization, authentication, rate limits, access controls, or any security or metering mechanism;
  • Probe, scan, overload, or disrupt the Service or the upstream Providers;
  • Register agents or accounts by automated means for the purpose of evading limits, or use the Service to transact for a person who has not authorized you;
  • Resell, sublicense, or redistribute Catalog Service outputs except as permitted by us and the relevant Provider;
  • Use the Service to send unsolicited communications, or to develop or operate anything that endangers safety, facilitates abuse, or violates our or a Provider’s prohibited-use rules.

You are responsible for your agents’ compliance with this section. We may investigate suspected violations and take action under §14, including suspending an agent or account.

11. Service availability, rate limits, and changes

We may modify, suspend, or discontinue any part of the Service at any time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. Planned and unplanned downtime, third-party outages, and changes to upstream Providers can affect availability and outputs. We may apply rate limits and throttling to the API, the MCP endpoint, and individual Catalog Services, and may change them without notice to protect the Service.

12. Disclaimers and limitation of liability

12.1 Disclaimers

To the maximum extent permitted by law, the Service and all Catalog Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, or availability.

12.2 Authorized spend is not a loss

Money your agents spend within the budgets and auto top-up settings you configure is spending you authorized under §4 and §7. You agree that such spending is not a loss, damage, or unauthorized transaction for which we are responsible, even if the agent’s decision to spend was one you would not have made yourself.

12.3 Exclusion of certain damages

To the maximum extent permitted by law, neither we nor our suppliers or Providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service, however caused and under any theory of liability.

12.4 Cap

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid to us in the 12 months before the event giving rise to the claim, excluding amounts passed through to Providers, or (b) US$100.

12.5 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for death or personal injury caused by negligence, fraud, or, where you are a consumer, your non-waivable statutory rights.

13. Indemnification

You will defend, indemnify, and hold harmless Valet and its affiliates, and our and their officers, directors, employees, contractors, and suppliers, from and against claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your agents’ actions, your content and inputs, or your violation of these Terms, any law, or any third-party right. We will notify you promptly of any such claim, may participate in the defense with counsel of our choosing at our expense, and will not settle a claim on your behalf without your consent, which you will not unreasonably withhold.

14. Suspension and termination

14.1 By you

You may stop using the Service and close your account at any time by contacting support@askvalet.ai.

14.2 By us

We may suspend or terminate your access, or an individual agent, if you breach these Terms, if required for security, legal, or compliance reasons, if a payment fails or a chargeback or fraud is suspected, or if the account has been inactive for 24 months. Where practicable we will notify you and give you an opportunity to cure.

14.3 Effect

On termination, your right to use the Service ends, agent tokens are revoked, Pending Requests are cancelled, and unexpired Entitlements lapse. For 30 days after closure you may request an export of your transaction history. §6, §9, §12, §13, §15, §17, and any other terms that by their nature should survive, will survive.

15. Intellectual property, outputs, and feedback

15.1 The Service

We and our licensors own the Service and its software, design, and content (excluding your content and Provider content). We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.

15.2 Your inputs

You retain rights in the inputs you or your agents submit. You grant us and the relevant Catalog Services a non-exclusive, worldwide, royalty-free license to process those inputs as needed to provide the Service and fulfill your agents’ calls.

15.3 Outputs

As between you and us, you own the outputs your agents obtain from Catalog Services, subject to the Provider’s terms and any third-party rights in the underlying content. We claim no rights in those outputs beyond what is needed to deliver them to you.

15.4 Feedback

If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

15.5 Stipend

The Stipend software is licensed separately under its open-source license. Nothing in these Terms limits or expands your rights under that license.

16. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you acknowledge that we will process information as described there.

17. Governing law and disputes

17.1 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

17.2 Informal resolution first

Before starting any formal proceeding, you agree to contact us at legal@askvalet.ai with a description of the dispute, and we agree to do the same. The parties will try in good faith to resolve the dispute within 30 days.

17.3 Forum

Disputes that are not resolved informally will be resolved exclusively in the state or federal courts located in the State of California, and the parties consent to their jurisdiction. Either party may bring an individual claim in small-claims court. This section does not limit any mandatory consumer-protection rights you have in your place of residence.

18. Changes to these Terms

We may update these Terms. For material changes, including changes to fees, §12, or §17, we will give at least 30 days’ notice by email or in-product notice before the change takes effect; other changes take effect on the date stated. Your continued use after the effective date means you accept the updated Terms. If you do not accept a change, close your account before the effective date and §9.6 applies to your unspent balance.

19. General

19.1 Entire agreement

These Terms, with the Privacy Policy and any order form, DPA, or Provider Terms we agree with you, are the entire agreement between us regarding the Service.

19.2 Severability and waiver

If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.

19.3 Assignment

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.

19.4 Export and sanctions

You will comply with U.S. export-control and sanctions laws in your use of the Service.

19.5 Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of cloud or payment providers, Provider failures, labor disputes, government action, or natural events.

19.6 No third-party beneficiaries

Except for the Providers’ rights under §5.3 and §12.3, there are no third-party beneficiaries of these Terms.

19.7 Notices

Notices to you may be sent to the email address on your account. Notices to us must be sent to legal@askvalet.ai.

20. Contact
